Terms of Service

1. Introduction and Acceptance

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Qdeck ("we," "our," or "us") governing your access to and use of the Qdeck platform, including our website, AI-powered presentation generator, editor, and all related services (collectively, the "Service").

By creating an account, accessing, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Service. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

2. Definitions

• "Service" refers to the Qdeck platform, including the website, web application, APIs, AI generation features, and all related tools and services.
• "Content" refers to any text, images, designs, code, presentations, and other materials created, uploaded, or generated through the Service.
• "AI-Generated Content" refers to any content produced by the Service's AI features, including presentation slides, text, layouts, and images.
• "User Content" refers to any content that you upload, submit, or input into the Service, including prompts, descriptions, images, and other materials.
• "Subscription Plan" refers to the pricing tier you select (Free, Pro, Max, or Enterprise).

3. Account Terms

• You must be at least 16 years of age to create an account and use the Service.
• You must provide accurate and complete information when creating your account. You agree to update your information to keep it current.
• You are responsible for maintaining the confidentiality of your account credentials, including your password and any associated authentication tokens.
• You are fully responsible for all activities that occur under your account, whether or not authorized by you.
• You must notify us immediately at support@qdeck.app if you suspect any unauthorized access to or use of your account.
• You may not create accounts using automated methods or create multiple accounts to circumvent plan limitations.
• We reserve the right to suspend or terminate accounts that violate these Terms or remain inactive for an extended period (12 months or more).

4. Subscription Plans and Billing

4.1 Plans

The Service is offered under the following subscription plans:

4.2 Billing and Payment

• Paid plans are billed in advance on a monthly or annual basis, depending on your selection.
• All payments are processed securely through Stripe. By subscribing to a paid plan, you authorize us to charge your payment method on a recurring basis.
• Prices are listed in US Dollars (USD) and do not include applicable taxes, which will be added where required by law.
• We reserve the right to change pricing with 30 days' prior notice. Price changes will take effect at your next billing cycle.

4.3 Upgrades, Downgrades, and Cancellation

• You may upgrade your plan at any time. The new rate will be prorated for the remainder of the current billing period.
• You may downgrade your plan at any time. The downgrade will take effect at the beginning of the next billing period. If your existing presentations exceed the lower plan's limit, you will not be able to create new presentations until you are within the limit.
• You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period. You will retain access to paid features until then.

4.4 Refunds

We offer a 14-day money-back guarantee for all new paid subscriptions. If you are not satisfied within the first 14 days, contact support@qdeck.app for a full refund. After the 14-day period, refunds are issued at our sole discretion.

5. Acceptable Use

You agree not to use the Service to:

• Violate any applicable local, state, national, or international law or regulation.
• Create, distribute, or share content that is illegal, harmful, threatening, abusive, harassing, defamatory, obscene, or otherwise objectionable.
• Generate or distribute malware, phishing pages, or any content designed to deceive or defraud others through the presentation creation features.
• Infringe upon the intellectual property rights, privacy rights, or other rights of any third party.
• Attempt to gain unauthorized access to any part of the Service, other users' accounts, or any systems or networks connected to the Service.
• Interfere with or disrupt the Service or the servers and networks used to provide the Service, including through denial-of-service attacks or excessive automated requests.
• Use the Service to send unsolicited communications, spam, or bulk messaging through shared presentation links.
• Reverse engineer, decompile, or disassemble any aspect of the Service, except as permitted by applicable law.
• Use automated tools, bots, or scripts to access the Service without our express written permission, except through our official API (available on Max and Enterprise plans).
• Resell, redistribute, or sublicense the Service or any content generated through the Service without our prior written consent.

We reserve the right to investigate and take appropriate action against any violations, including removing content, suspending or terminating accounts, and reporting to law enforcement authorities.

6. Intellectual Property

6.1 Our Intellectual Property

The Service, including its original content (excluding User Content and AI-Generated Content), features, functionality, design, source code, trademarks, logos, and branding, is and will remain the exclusive property of Qdeck and its licensors. The Service is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Service without our explicit written permission.

6.2 Your Content

You retain ownership of all User Content that you upload or input into the Service. By using the Service, you grant us a limited, non-exclusive, worldwide, royalty-free license to use, store, process, and display your User Content solely for the purpose of providing and improving the Service. This license terminates when you delete your content or account.

6.3 AI-Generated Content

Content generated by the Service's AI features (including presentation slides, text, layouts, and images) is provided to you for your use. To the fullest extent permitted by applicable law, you own the rights to the AI-Generated Content created through your use of the Service. You acknowledge that:

• AI-Generated Content is produced by machine learning models and may not be unique. Similar or identical content may be generated for other users who provide similar inputs.
• We do not guarantee that AI-Generated Content will be free from errors, inaccuracies, or unintentional similarities to existing copyrighted material.
• You are responsible for reviewing and editing AI-Generated Content before use, and for ensuring it does not infringe on any third-party rights.
• The availability and quality of AI-Generated Content depends on third-party AI providers (Google Gemini) and may vary over time.

6.4 Feedback

If you provide us with suggestions, feedback, or ideas regarding the Service, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use, modify, and incorporate such feedback into the Service without any obligation to you.

7. Presentations, Sharing, and Export

• Storage: Presentations are stored as structured JSON data on our servers. We make reasonable efforts to ensure the availability and integrity of your data but do not guarantee against data loss.
• Public Sharing: When you enable public sharing for a presentation, it becomes accessible to anyone with the share link. You are solely responsible for the content of publicly shared presentations.
• Embedding: Publicly shared presentations can be embedded on third-party websites via iframe. You acknowledge that embedded presentations are subject to the same terms as publicly shared presentations.
• Collaboration: When you invite collaborators, they gain access to view and edit the presentation. You are responsible for managing collaborator access. The presentation owner retains ultimate control and ownership.
• Export: Presentations can be exported as HTML files. We do not support export to PDF, PPTX, or other formats at this time.
• Versioning: Significant changes to slides are automatically backed up as version diffs. You can view version history and restore previous versions of individual slides.

8. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

Without limiting the foregoing, we do not warrant that:

• The Service will be uninterrupted, timely, secure, or error-free.
• AI-Generated Content will be accurate, complete, reliable, or suitable for any particular purpose.
• The results obtained from using the Service will meet your requirements or expectations.
• Any errors or defects in the Service will be corrected within any specific timeframe.
• The Service will be compatible with all devices, browsers, or operating systems.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL QDECK, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your access to, use of, or inability to access or use the Service.
• Any conduct or content of any third party on the Service, including other users' presentations or communications.
• Any content obtained from the Service, including AI-Generated Content.
• Unauthorized access, use, or alteration of your transmissions or content.
• Loss of data, including presentations, versions, or uploaded assets.

IN NO EVENT SHALL OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATED TO THE SERVICE EXCEED THE GREATER OF (A) THE AMOUNTS YOU HAVE PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED US DOLLARS ($100.00).

10. Indemnification

You agree to defend, indemnify, and hold harmless Qdeck and its officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including reasonable attorneys' fees) arising from: (a) your use of and access to the Service; (b) your violation of any term of these Terms; (c) your violation of any third-party right, including any intellectual property, privacy, or proprietary right; (d) any claim that your User Content caused damage to a third party; or (e) any content you share publicly through the Service.

11. Termination

• By You: You may terminate your account at any time by deleting it through your account settings or by contacting support@qdeck.app. Upon termination, your right to use the Service ceases immediately.
• By Us: We may suspend or terminate your account and access to the Service at any time, with or without cause, with or without notice, if we reasonably believe you have violated these Terms or if continued provision of the Service to you is no longer commercially viable.
• Effect of Termination: Upon termination, your license to use the Service terminates. We may delete your account data, presentations, and associated content within 30 days of termination, unless retention is required by law. You should export your presentations before terminating your account.
• Survival: Sections relating to intellectual property, limitation of liability, indemnification, disclaimers, and governing law will survive termination.

12. Modifications to the Service and Terms

• Service Changes: We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.
• Terms Changes: We may revise these Terms from time to time. Material changes will be communicated by posting the updated Terms with a new "Last updated" date and, for significant changes, via email notification. Your continued use of the Service after any changes constitutes your acceptance of the revised Terms.

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with applicable laws, without regard to conflict of law principles. Any disputes arising out of or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation between the parties.

If a dispute cannot be resolved through negotiation within 30 days, either party may pursue resolution through binding arbitration or in the courts of competent jurisdiction. Nothing in these Terms limits your statutory rights as a consumer under applicable local law.

14. General Provisions

• Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Qdeck regarding the Service and supersede all prior agreements and understandings.
• Severability: If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that the remaining Terms remain in full force and effect.
• Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
• Assignment: You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign these Terms without restriction.
• Force Majeure: We shall not be liable for any failure or delay in performing our obligations due to causes beyond our reasonable control, including natural disasters, war, terrorism, strikes, government actions, or failures of third-party services.
• Headings: Section headings are for convenience only and have no legal or contractual effect.
